1. Agreement to Terms

By accessing or using Guidely's website and services ("Service"), you agree to be bound by these Terms of Service. The Service is operated by SmithX LLC ("Company," "we," "us," or "our"). If you do not agree to these terms, do not use the Service.

2. Description of Service

Guidely provides AI-powered receptionist services for medical clinics and healthcare practices. Our Service answers inbound phone calls, schedules patient appointments, responds to common inquiries, and routes messages to your staff when needed. The Service operates 24 hours a day, 7 days a week.

3. Eligibility

You must be at least 18 years old and have the legal authority to bind your organization to these terms. By using the Service, you represent that you meet these requirements.

4. Account and Setup

To use our Service, you must provide accurate and complete information about your practice, including scheduling availability, practice details, and contact information. You are responsible for maintaining the accuracy of this information. We handle the technical setup and configuration of the Service on your behalf.

5. Pricing and Payment

The Service is billed at a flat monthly rate as displayed on our pricing page at the time of your subscription. Key terms:

  • Billing is monthly and recurring until cancelled
  • No long-term contracts are required
  • You may cancel at any time; cancellation takes effect at the end of the current billing period
  • We reserve the right to change pricing with 30 days advance notice
  • Refunds are not provided for partial months of service

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Process calls unrelated to legitimate healthcare practice operations
  • Transmit harmful, threatening, or fraudulent content
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service

7. Healthcare Compliance

We understand the sensitive nature of healthcare communications. We will enter into a Business Associate Agreement (BAA) with healthcare clients as required under HIPAA. You remain responsible for ensuring your use of the Service complies with all applicable healthcare regulations, including patient consent requirements in your jurisdiction.

8. AI Disclosure

The Service uses artificial intelligence to handle phone calls. While our AI produces natural-sounding conversations, it is not a human. You are responsible for complying with any applicable laws regarding AI disclosure to callers in your jurisdiction. We can assist with configuring appropriate disclosures within the call flow.

9. Call Recording

Calls handled by the Service may be recorded for quality assurance and service improvement purposes. You are responsible for ensuring compliance with applicable call recording consent laws in your state or jurisdiction. We recommend consulting with legal counsel regarding your specific requirements.

10. Service Availability

We strive to maintain 24/7 availability but do not guarantee uninterrupted service. We are not liable for any downtime, interruptions, or service failures caused by circumstances beyond our reasonable control, including third-party service outages, natural disasters, or internet disruptions.

11. Intellectual Property

All content, features, and functionality of the Service (including but not limited to text, graphics, logos, software, and AI models) are owned by SmithX LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law, SmithX LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost patients, missed appointments, or data loss arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless SmithX LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any applicable law or regulation.

14. Termination

Either party may terminate service at any time. We reserve the right to suspend or terminate your access if you violate these terms. Upon termination, your right to use the Service ceases immediately. We will retain call data for 30 days after termination, after which it will be deleted unless otherwise required by law.

15. Changes to Terms

We may modify these terms at any time. Material changes will be communicated with at least 30 days notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.

16. Governing Law

These terms are governed by the laws of the state in which SmithX LLC is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
